Unique International Perspective
The fact that we are licensed in the US, Canada, and England & Wales, combined with over 20 years of professional experience practicing law, allows us to be ideally positioned to understand matters from a unique international perspective.
Our cross-border focus takes the form of transactional legal support, drafting, negotiating, and reviewing a whole host of different types of contracts under the laws of the US, Canada, and England & Wales. In addition to numerous other activities, we also provide general legal and regulatory support in bringing and maintaining our clients’ operations in compliance with local laws, whether of the US, Canada, or England & Wales.
The firm's founder, Randy S. Kramer, has been praticising law for over 20 years and is licensed to practice law in four countries: the US, Canada, England & Wales.
Randy has dreamed for some time of opening his own law firm based on his passion for both business law (corporate and commercial law, including technology transactions) and law with international aspects.
This puts our firm in the rare position to have one lawyer be able to examine and resolve business law matters from a genuinely international perspective which includes several of the world’s most significant legal jurisdictions.
We assist companies in modifying their contracts originally drafted for one jurisdiction in order to be able to be used in another jurisdiction. We negotiate contracts under local laws with foreign suppliers, vendors, customers and partners. We also create online terms of sale, website or mobile application terms of use, or Software as a Service (SaaS) terms of use according to the laws of the US, Canada, and England & Wales.
We assist your company by ensuring that it conducts its business in the US, Canada or England & Wales in accordance with applicable laws and regulations.
Common Law vs. Civil Law
When it comes to international law, there are significant differences between jurisdictions that follow the common law (which originated in England) and those that follow the civil law (which originated in France and Italy). In fact, most countries in the world use civil law systems.
Even though civil law is so widespread internationally, most lawyers trained in the common law do not learn the complexities and nuances of the civil law and how they render the civil law substantially different from the common law.
Randy is, on the other hand, a fully qualified civil law lawyer. He received a B.C.L. in Civil Law from McGill University in Montreal, Quebec, Canada. He then became a member of the Barreau du Québec (the province of Quebec is a civil law jurisdiction despite that the rest of Canada follows the common law). He also received a J.D. from McGill University, a common law degree.
Bilingual Legal Practice
The best way to navigate the labyrinth of international business. law is to fully understand both common law and civil law, as we do.
Even though English is often thought of as being the language of business internationally, when practicing international law it is highly recommended that one be fluent in more than one language. We are fluent in both English and French.
Appreciation of Other Cultures
It is crucial in the practice of international law to be aware and appreciate that people in certain other parts of the world have different cultures and distinctive ways of doing things. The highly effective international lawyer is sensitive to this, takes the time to understand it, and modifies his or her approach accordingly.
